1. Acceptance of Terms

By creating an account, accessing, or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our services. If you are using our services on behalf of a business, you represent that you have the authority to bind that business to these Terms.

2. Service Description

Caralyzr provides a platform for automotive professionals to:

Upload and analyze vehicle diagnostic data from various diagnostic tools
Generate certificates that summarize vehicle condition
Produce battery State of Health (SoH) reports for EVs and hybrids
Access AI-powered Repair Insights (beta feature)

Our services are designed for use by automotive professionals, dealers, and workshops. Certificates and reports are provided as decision-support tools and do not constitute warranties or guarantees about vehicle condition.

3. User Accounts

To use our services, you must:

Create an account with accurate and complete information
Maintain the security of your account credentials
Promptly notify us of any unauthorized access or security breach
Be responsible for all activities that occur under your account

4. User Responsibilities

You agree to:

Use our services only for lawful purposes
Ensure you have the right to upload diagnostic data you submit
Provide accurate vehicle and diagnostic information
Not misrepresent or alter certificates generated by our platform
Comply with all applicable laws and regulations
Not attempt to access, tamper with, or use non-public areas of our systems
Not interfere with or disrupt the integrity or performance of our services

5. Subscription and Payment

Our services are provided on a subscription basis:

Pricing is based on vehicle sessions as defined in your subscription plan
Payment is due at the beginning of each billing cycle
Unused sessions may roll over according to your plan terms
Refunds are provided in accordance with our refund policy
We reserve the right to modify pricing with 30 days' notice

6. Intellectual Property

The Caralyzr platform, including its software, design, content, and trademarks, is owned by Caralyzr B.V. and protected by intellectual property laws. You retain ownership of any diagnostic data you upload. By uploading data, you grant us a limited license to process and analyze it to provide our services. Certificates generated by our platform may be used for their intended commercial purposes.

7. Limitation of Liability

To the maximum extent permitted by law, Caralyzr and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of our services. Our total liability for any claims under these Terms shall not exceed the amount you paid us in the 12 months preceding the claim.

8. Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that our services will be uninterrupted, error-free, or secure. Certificates and reports are based on the diagnostic data provided and do not guarantee vehicle condition, safety, or suitability for any purpose. Professional inspection by qualified technicians is always recommended.

9. Indemnification

You agree to indemnify and hold harmless Caralyzr and its affiliates from any claims, damages, losses, and expenses (including legal fees) arising from your use of our services, violation of these Terms, or infringement of any third-party rights.

10. Termination

You may terminate your account at any time by contacting us. We may suspend or terminate your access to our services if you violate these Terms or for any other reason with notice. Upon termination, your right to use our services ceases immediately. Provisions that by their nature should survive termination will remain in effect.

11. Modifications to Terms

We may modify these Terms at any time. We will notify you of material changes by email or through our platform. Your continued use of our services after changes become effective constitutes acceptance of the modified Terms.

12. Governing Law and Disputes

These Terms are governed by the laws of the Netherlands, without regard to conflict of law principles. Any disputes arising from these Terms or your use of our services shall be resolved exclusively in the courts of Amsterdam, Netherlands. You agree to submit to the personal jurisdiction of such courts.
